insMind Membership Service Agreement

Welcome to the insMind membership service! This Agreement outlines your rights and obligations when using the membership services provided by insMind. This Agreement, together with any referenced documents and your order, constitutes the “Agreement” for your use of insMind membership services.

By continuing to subscribe to or access our services after changes to this Agreement, you are deemed to have understood and accepted the updated terms.

Scope of Application

This Agreement is entered into between you and us (insMind Pte. Ltd., referred to as “insMind” or “we” herein) after you log in, subscribe, use, or otherwise obtain insMind membership services.

Membership Procedure

insMind membership is only available to adults. You must be of legal age under applicable law to become an insMind member.

To become a member, you must pay the appropriate membership fee through our prompted page or an approved payment channel. If you obtain membership through fraudulent means or unauthorized channels, we reserve the right to revoke your membership and require you to pay the associated service fees.

By becoming our member, you agree to the rights and obligations outlined in this Agreement. As long as you comply with all rules and terms, insMind will provide membership services throughout your membership term.

Membership Fees, Term, and Benefits

Membership fees and benefits are subject to the information listed on the insMind website. Please verify details like your account name and service type when subscribing.

The membership duration is based on your selection and payment, starting from the date your membership service is successfully activated.

Auto-Renewal Subscription

1. Definition: Auto-renewal is designed to prevent service interruption due to non-renewal, allowing seamless membership continuation.

2. Billing Cycles: Monthly, quarterly, or yearly, depending on your selection during subscription.

3. Auto-Renewal Rules:

   • By enabling auto-renewal, you authorize insMind to initiate payment instructions 3 days before the current service term expires, following payment platform rules. Payment credentials such as account passwords or verification codes may not be required. For Google Play and Apple Store payments, their specific rules apply.

   • Upon successful deduction, the new billing cycle begins automatically unless the member explicitly cancels the auto-renewal.

   • Failure to cancel explicitly is considered consent for continued deduction attempts.

   • insMind reserves the right to adjust service fees. If auto-renewal is canceled and later re-enabled, the applicable fee is the one shown at the time of reactivation.

Refund Policy

insMind membership is a virtual product with significant depreciation upon activation. Therefore, membership fees are generally non-refundable.

However, if your refund request is approved, unused fees will be refunded according to the formula:

Refund Amount = (Total Fee for Refunded Period / Total Days in Period) × Unused Days – Platform Service Fee

Platform Service Fee = Total Fee × 20%

If the unused days' value does not cover the platform fee, no refund will be issued.

Membership Use Rules

You confirm that you are a legally recognized adult, capable of taking full responsibility for your use of insMind services.

Membership benefits vary based on the level and fee. You must use your rights within the boundaries set by this Agreement.

You agree to comply with the [Terms of Use], which include prohibitions on:

• Producing, sharing, or distributing illegal content or content that harms national security, reputation, or public order.

• Infringing upon others’ legal rights such as portrait, reputation, IP, or trade secrets.

• Any other behavior prohibited by the [Terms of Use].

You must also not:

• Provide services for others for commercial or non-personal purposes.

• Use automated scripts, bots, or crawlers to access services.

• Modify service details using technical means.

• Transfer services between accounts or to third parties without permission.

• Exploit loopholes or engage in dishonest or fraudulent behavior.

• Use others’ credentials or violate insMind’s or others’ legal rights.

• Engage in any other unauthorized or unlawful acts.

insMind declares that any sale or transfer of membership without express authorization is illegal, and we reserve the right to pursue legal action.

Member Responsibilities

1. All actions under your account are your responsibility. Prohibited actions include:

   • Violating this Agreement or the [Terms of Use]

   • Violating laws or regulations

   • Hindering service to other users

   • Compromising cybersecurity

   • Damaging insMind’s or affiliates’ reputation or interests

   • Gaining unlawful profits or reselling services

   • Other violations of insMind’s rights

2. If any of the above occurs, insMind may:

   • Delete or block related content

   • Suspend or terminate services

   • Retain unpaid fees as penalties; losses are your own responsibility

   • Seek compensation for damages and legal costs

3. You are liable for any third-party damages caused by your breach.

insMind's Limited Liability

• insMind is not responsible for the accuracy, legality, or safety of content you upload or share.

• You are responsible for any damage caused by your use of your content.

• insMind is not liable for losses caused by force majeure events or system/network failures beyond its control.

• Our maximum liability is limited to the total membership fees paid by you to insMind in the past six months.

Service Suspension, Termination, and Changes

1. Service may be suspended or terminated if:

   • You cancel it

   • The term expires or is ended by mutual agreement

   • You violate the terms

   • Required by law or due to force majeure

   • Any other legal or agreed condition

2. No further notice is required upon termination. Contact support if you experience access issues.

3. Post-termination:

   • insMind bears no responsibility beyond legal requirements

   • Fees are non-refundable

   • Transactions may be completed or terminated based on our discretion

Notifications

You agree that insMind may notify you via website announcements, pop-ups, messages, email, or other contact methods. Notification is deemed delivered upon sending. The earliest method applies if multiple notices are sent.

Amendments

1. insMind reserves the right to amend this Agreement. Notifications will be posted on relevant pages or through reasonable means.

2. If you disagree with the changes, you may cease using the service. Continued use signifies acceptance.

Governing Law

This Agreement is governed by the laws of Singapore. If any part is invalid due to conflict with Singapore law, the remainder remains in effect.

Miscellaneous

1. insMind’s failure to enforce rights does not constitute a waiver.

2. Headings are for reference only and do not affect interpretation.

4. This Agreement is effective upon publication or update. Use of the service implies acceptance.
