insMind Membership Service Terms

Welcome to insMind’s membership services! These Terms outline your rights and obligations when using membership services provided by insMind. These Terms, along with the documents referenced herein and your order, together constitute the “Agreement” governing your use of insMind’s membership services.

If you continue to subscribe to or access our services after changes to these Terms, you will be deemed to have understood and accepted the updated Terms.

1 Scope of Application

This Agreement applies between you and us (insMind Pte. Ltd., referred to as “insMind” or “we” in these Terms) when you log in, subscribe to, use, or otherwise acquire insMind membership services.

2 Membership Procedure

insMind membership services are provided to adults only. You must be a legal adult under applicable law to become an insMind member.

To become a member, you must pay the corresponding membership fee through the prompts on our pages or through approved channels. If you obtain insMind membership through fraudulent means or non-approved channels, we reserve the right to revoke your membership and require payment of the corresponding service fees.

By becoming a member, you agree to abide by these Terms and, provided you continue to comply with insMind’s rules and agreements, insMind will continue providing membership services for the duration of your membership term.

3 Membership Fees, Service Period, and Benefits

3.1 The service fees and membership benefits are based on those specified on insMind’s official website. You should carefully confirm your account name and service type when activating your membership.

3.2 The membership service period is based on the duration you select and pay for, commencing from the date you successfully subscribe.

3.3 Auto-Renewal Service

3.3.1 Definition

Auto-renewal service allows members to automatically renew their membership to avoid service disruption due to oversight.

3.3.2 Billing Cycle

The auto-renewal billing cycle can be 1 month, 3 months, or 1 year, as selected on the subscription page.

3.3.3 Auto-Renewal Payment Rules

- By activating auto-renewal, you authorize insMind to issue payment instructions 3 days before your current membership term expires. The payment platform may deduct the fee for the next billing cycle from your linked account without requiring account password, payment password, SMS verification code, or other credentials.

- Google Play and Apple Store billing follow their respective policies.

- Upon successful deduction, insMind will activate your membership for the next billing period. Unless you actively cancel auto-renewal, deductions will remain effective indefinitely.

- If you fail to cancel auto-renewal, insMind may attempt deductions within a reasonable period even if your account balance is insufficient.

- insMind reserves the right to adjust service fees. If you cancel and later re-enable auto-renewal, the then-current fees will apply.

3.3.4 Managing or Cancelling Auto-Renewal

You can cancel auto-renewal by:

1. Logging into your insMind account, hovering over your profile picture, and selecting Manage from the dropdown menu.

2. In the subscription management page, find the auto-renewal item you wish to cancel, click Cancel subscription.

3. Confirm that you have read the relevant information about subscription cancellation. If you confirm to cancel the subscription, click Confirm.

4. After clicking Confirm, the subscription will be canceled immediately. You can check your subscription status under your account info.

3.4 Refund Policy

insMind membership is a virtual product, and its value significantly diminishes upon activation. As a rule, fees paid are non-refundable.

However, if you pass our refund review, we will refund the unused portion according to the following:

Refund Amount = (Total fee for the refund period / Total days in refund period) × Unused days − Payment platform service fee

Platform service fee = Total fee for the refund period × 20%

If the refund amount is less than the platform service fee or no balance remains after deduction, no refund will be issued.

4 Membership Usage Rules

1. You confirm you are a legal adult and can independently bear responsibility for your actions when using insMind’s services.

2. Your membership benefits differ according to your membership level and payment, and you should use them within the scope of this Agreement.

3. You agree to abide by insMind’s Terms of Use, and not use membership services to produce, publish, or disseminate any content prohibited by applicable laws or regulations or that infringes on others’ rights.

4. You agree to use services via official channels only and must not acquire or use services in unauthorized ways, including but not limited to:

- Commercial use for others;

- Automated programs or scripts;

- Technically modifying service content, terms, or account status;

- Transferring or selling memberships without insMind’s authorization;

- Exploiting rule/system loopholes, abusing membership, or engaging in speculative or illicit conduct;

- Using others’ personal or account information;

- Other acts violating these Terms, the Terms of Use, or applicable laws and policies.

insMind reserves the right to hold accountable anyone involved in unauthorized sale or transfer of membership.

5 Member Responsibilities

1. You are responsible for all actions under your account and must not engage in inappropriate conduct including, but not limited to:

- Violating these Terms or the Terms of Use;

- Violating laws or regulations;

- Impairing insMind’s service to other users;

- Engaging in network security breaches;

- Harming insMind, its partners, or other users;

- Being ruled by authorities to infringe upon others’ rights;

- Profiteering from membership services by resale or transfer;

- Any other conduct infringing insMind’s legitimate rights.

2. In case of violations, insMind may:

- Remove or block related information;

- Suspend or terminate part/all services;

- Retain all unpaid fees as liquidated damages and seek compensation for any losses.

3. If your actions cause insMind or affiliates any losses (including legal fees), you must compensate fully.

6 insMind’s Limited Liability

1. You acknowledge that content uploaded or published on insMind is your personal responsibility. insMind does not guarantee its accuracy, legality, or safety.

2. You are responsible for any use of your content and any resulting damages to yourself or others.

3. insMind is not liable for service interruptions or losses caused by force majeure, telecommunications failures, or system issues beyond its control, though it will attempt to minimize any adverse effects.

4. insMind’s maximum liability to you under this Agreement is limited to the membership fees received from you in the past six months.

7 Suspension, Termination, and Modification of Services

1. insMind may suspend or terminate services under these circumstances:

- Voluntary suspension or termination by you;

- Service expiration or early termination per agreement or law;

- insMind’s suspension due to your misconduct;

- Government orders or force majeure;

- Other legally justified reasons.

2. insMind is not liable for any suspension or termination and will decide at its discretion whether to complete ongoing transactions or refund accordingly.

3. Handling after suspension or termination

- In addition to the liability prescribed by law, insMind shall not bear any liability to users and any third party for the suspension or termination of this service;

- Fees already collected will not be refunded;

- For ongoing platform transactions, insMind will make reasonable judgments based on the circumstances to determine whether to continue or terminate the relevant transactions, and decide whether to refund or deduct relevant fees as liquidated damages.

8 Notifications

You agree that insMind may notify you via website announcements, pop-ups, email, messages, or other methods. Notices are considered delivered when issued.

9 Changes to This Agreement

1. insMind has the right to change the content of this Agreement. In this regard, insMind will notify you on the corresponding page or in other reasonable ways.

2. If the Agreement is changed but you do not agree to the changed content, you have the right to choose to stop using the Member Services. If you continue to use the Member Services after the changed Agreement takes effect, it will be deemed that you have agreed to all the changes.

10 Governing Law

This Agreement is governed by the laws of Singapore. If any part is deemed invalid due to conflict with Singapore law, the remaining provisions remain effective.

11 Miscellaneous

1. Failure to exercise any right under this Agreement does not constitute a waiver.

2. Headings are for convenience only and do not affect interpretation.

4. This Agreement takes effect upon publication or update. Your use of our services indicates acceptance.
